Welcome to 91 Agency. These Terms & Conditions ("Terms") govern your use of our website and your engagement with our video editing services. 91 Agency ("91 Agency," "we," "us," or "our") is a white-label video editing agency serving marketing agencies, creative agencies, businesses, and creators.

By accessing our website, booking a Discovery Call, requesting information about our services, or entering into a white-label editing partnership with us, you agree to be bound by these Terms. Please read them carefully before engaging our services.

1. Acceptance of Terms

By using our website or engaging 91 Agency for any of our services, you confirm that you have read, understood, and agree to these Terms. If you are entering into an engagement on behalf of an agency or company, you represent that you have the authority to bind that organization to these Terms. If you do not agree with any part of these Terms, please do not use our website or services.

2. Services

91 Agency provides professional video editing services designed for agencies, businesses, and creators, including:

  • Short Form Video Editing: Editing optimized for platforms such as Reels, Shorts, and TikTok, focused on retention and engagement.

  • Long Form Video Editing: Editing for YouTube videos, podcasts, webinars, and other extended content formats.

  • VSL Editing: Video sales letter editing crafted to support conversion-focused marketing campaigns.

  • AI UGC Editing: Editing and refinement of AI-generated user-generated-content-style videos for marketing and social media use.

  • Content Repurposing: Transforming existing long form content into multiple short form assets across platforms.

  • Dedicated White-Label Video Editing: Ongoing, dedicated editing support delivered under our client's brand as part of a white-label partnership.

The specific scope, volume, and details of the services provided to each client are defined during the Discovery Call process and confirmed in the agreed service plan or project brief.

3. Client Responsibilities

To enable us to deliver high-quality work on schedule, clients agree to:

  • Provide all required raw footage, brand assets, fonts, logos, scripts, and reference materials in a timely manner and in usable quality and formats.

  • Supply clear creative direction, style references, and project briefs at the start of each project or partnership.

  • Provide feedback and revision requests within a reasonable timeframe so projects can progress without unnecessary delays.

  • Review and approve deliverables promptly; delays in feedback or approvals may extend delivery timelines.

  • Ensure that all footage, music, images, and other materials submitted to us are owned by the client or properly licensed for use. The client is solely responsible for securing all necessary rights, releases, and permissions for the materials they provide.

  • Ensure that the content they request does not infringe the rights of any third party or violate any applicable law or platform policy.

91 Agency is not responsible for delays or issues arising from incomplete, delayed, or unusable client materials.

4. White-Label Partnership

91 Agency operates as a white-label editing partner. This means:

  • All work is delivered under the client's brand. The client presents the deliverables to their own customers as their own work.

  • 91 Agency remains behind the scenes and does not communicate directly with the client's end customers unless expressly agreed otherwise.

  • We do not publicly disclose the identity of our white-label clients or claim credit for white-label work, unless the client provides written permission.

  • Clients may not represent that 91 Agency's internal team members are their direct employees in any legally misleading manner, but they are free to present the delivered work under their own agency brand.

Any exceptions to this white-label arrangement, such as public case studies or portfolio use, require mutual written agreement.

5. Intellectual Property

  • Client Footage and Materials: The client retains full ownership of all raw footage, brand assets, and materials they provide to us. We use these materials solely to deliver the agreed services.

  • Final Deliverables: Upon full payment for the relevant project or billing period, the client owns the final edited deliverables and may use, distribute, and monetize them without restriction.

  • 91 Agency Assets: 91 Agency retains full ownership of its internal workflows, editing processes, project management systems, templates, presets, and methodologies developed independently of any specific client project. Nothing in these Terms transfers ownership of these internal assets to the client.

  • Until full payment is received for a given project or billing period, 91 Agency retains ownership of the final deliverables for that work.

6. Payments

Payment terms, billing cycles, and pricing are agreed upon with each client based on the selected service plan or project scope and are confirmed in writing before work begins. Unless otherwise agreed:

  • Invoices are payable according to the terms stated on the invoice or in the agreed service plan.

  • Work on new projects or ongoing deliverables may be paused if payments are overdue.

  • Ownership of final deliverables transfers to the client only upon receipt of full payment for the relevant work.

  • Fees paid for completed and delivered work are non-refundable, except where otherwise agreed in writing.

7. Turnaround Times

We provide estimated turnaround times for each project or service plan during onboarding. These estimates depend on factors including project scope, video length, editing complexity, the volume of active projects, the quality and completeness of client materials, and the number of revision rounds requested. While we work diligently to meet all estimated timelines, turnaround times are estimates and not guaranteed deadlines unless expressly agreed in writing.

8. Revisions

Revisions are included according to the client's agreed service plan or project scope. Revision requests should be clear, consolidated where possible, and submitted within the feedback windows agreed during onboarding. Requests that fall outside the agreed revision scope — such as changes to the original creative brief, new footage, or additional deliverables — may be treated as new work and quoted separately.

9. Confidentiality

We understand that white-label partnerships depend on discretion. 91 Agency agrees that:

  • All client footage, brand assets, scripts, and project materials are treated as strictly confidential.

  • Client business information, including client lists, pricing arrangements, internal processes, and the existence of the white-label relationship itself, is kept confidential.

  • Confidential information is accessed only by team members who need it to deliver the services.

  • We do not share, publish, or repurpose client materials for any purpose outside the agreed engagement without written permission.

These confidentiality obligations continue after the end of any project or partnership. Likewise, clients agree to keep confidential any non-public information about 91 Agency's internal processes and pricing shared with them during the engagement.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • 91 Agency's total liability arising out of or relating to any project or engagement is limited to the amount paid by the client for the specific work giving rise to the claim.

  • 91 Agency is not liable for indirect, incidental, consequential, or special damages, including loss of profits, loss of business, or loss of data.

  • 91 Agency is not responsible for the performance, reach, engagement, or commercial results of any video content on any platform.

  • 91 Agency is not liable for claims arising from materials provided by the client, including copyright, trademark, licensing, or publicity claims related to client-supplied footage, music, or assets.

  • 91 Agency is not liable for delays or failures caused by events beyond our reasonable control, including outages of third-party platforms and services.

11. Third-Party Services

In the course of delivering our services, we use trusted third-party platforms for communication, scheduling, file transfer, and video hosting, which may include:

  • Vimeo and YouTube for hosting, reviewing, and delivering video content

  • Google Drive, Dropbox, and WeTransfer for file sharing and asset transfer

  • Tally for intake forms and Calendly for scheduling Discovery Calls and meetings

  • Google Workspace (Gmail) for business communication

These platforms are governed by their own terms of service and privacy policies. While we choose reputable providers, 91 Agency is not responsible for outages, data handling practices, or service changes on these third-party platforms. Clients who require specific file transfer or hosting tools may discuss this with us during onboarding.

12. Termination

Either party may end an ongoing partnership or service plan by providing written notice in accordance with the terms agreed during onboarding. Upon termination:

  • The client remains responsible for payment for all work completed or in progress up to the effective date of termination.

  • Upon full payment, we will deliver all completed work and, where requested, transfer project files as agreed.

  • Confidentiality obligations under these Terms survive termination.

  • We may retain or delete client materials in accordance with our data retention practices and any written agreement with the client.

91 Agency reserves the right to suspend or terminate an engagement immediately if a client materially breaches these Terms, including non-payment or submission of unlawful or infringing materials.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, business practices, or legal requirements. When we make changes, we will update the "Last Updated" date at the top of this page. Material changes affecting active clients will be communicated directly where appropriate. Continued use of our website or services after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which 91 Agency is established, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or our services will first be addressed in good faith between the parties before pursuing formal proceedings in the courts of that jurisdiction.
